These Terms and Conditions (“Terms”) govern the use of services provided by Outerwave Media LLC (“Outerwave Media,” “we,” “us,” or “our”). By engaging our services, you (“Client,” “you”) agree to the following terms.
1. About Outerwave Media
Outerwave Media LLC is a Wisconsin-based web design and development company located in Menomonee Falls, WI. We provide custom website design, development, maintenance, SEO, and consulting services to local and national clients.

2. Services
We provide custom-quoted services, which may include:
- Website design and redesign
- WordPress development
- Ongoing maintenance and support
- SEO and performance optimization
- Consulting and website audits
All services are tailored to each project and defined in a written proposal, invoice, or agreement.
3. Project Scope
Each project includes a clearly defined scope, which may outline:
- Number of pages
- Features and functionality
- Design requirements
- Branding or logo work (if applicable)
Work outside the agreed scope may require additional fees and timeline adjustments.
4. Revisions
Unless otherwise stated, projects include a limited number of revisions (typically up to 10), provided they do not constitute a full redesign or significant change in direction.
Additional revisions or major changes may be billed separately.
5. Client Responsibilities
Clients are responsible for providing required content, images, logos, and other materials in a timely manner unless otherwise agreed.
If Outerwave Media is engaged to create content, branding, or photography (including on-location photography), this will be outlined in the project scope.
Delays in providing materials, approvals, or feedback may result in project timeline extensions.
6. Payments & Billing
- Projects require a deposit and final payment, as outlined in the invoice.
- Deposits are non-refundable once work begins.
- Final deliverables and ownership are transferred only after payment is made in full.
- Payments are invoiced via PayPal, which supports multiple payment methods.
Late Payments
We reserve the right to:
- Apply late payment penalties
- Pause or suspend work until payment issues are resolved
7. Project Cancellation & Termination
Either party may terminate an agreement at any time.
- If a project is canceled early, the deposit is retained.
- If a project is canceled during final stages, up to 75% of the total project cost may be due based on work completed.
- Monthly maintenance or retainer services require 30 days’ written notice to cancel.
8. Intellectual Property & Ownership
- Full ownership of the final website and deliverables transfers to the client after full payment is received.
- Outerwave Media retains the right to reuse code, techniques, and non-proprietary components.
- We may display completed work in our portfolio, website, and marketing materials unless otherwise agreed.
9. Third-Party Tools, Plugins & Licenses
Some projects may use third-party themes, plugins, or services.
- If Outerwave Media provides access via an agency license, that access may expire.
- Clients are responsible for purchasing, renewing, and maintaining licenses for any paid tools we do not own or once our agency license ends.
- Outerwave Media is not responsible for changes, pricing, or discontinuation of third-party services.
10. Hosting & External Services
Outerwave Media does not currently provide hosting services.
We are not responsible for:
- Hosting provider downtime
- Server failures
- Security breaches caused by hosting environments
- Issues related to third-party platforms
We may integrate services such as Google Analytics or Google Search Console at the client’s request.
11. SEO & Performance Disclaimer
While we follow industry best practices, we do not guarantee:
- Search engine rankings
- Website traffic
- Conversions or revenue
SEO results depend on many factors outside our control.
12. Limitation of Liability
To the fullest extent permitted by law, Outerwave Media’s total liability for any claim related to our services shall not exceed the total amount paid by the client for the specific project.
We are not liable for indirect, incidental, or consequential damages.
13. Use at Your Own Risk
Websites, code, and recommendations are provided “as is.” Clients assume responsibility for how their website is used, including compliance with applicable laws, accessibility requirements, and industry regulations.
14. Governing Law
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles.
15. Changes to These Terms
Outerwave Media may update these Terms from time to time. Continued use of our services constitutes acceptance of the updated Terms.
